PRACTICE AREAS

BACKGROUND AND EXPERIENCE
Mr. Eng is a member of the firm's transactional department and specializes in real estate and business law. In the business area, he has advised on the formation and management of domestic and international joint ventures; advised on a broad range of corporate operations and management agreements including employment, distribution, licensing and sales agreements; represented buyers, sellers, investors and lenders in corporate acquisitions, mergers and restructurings. In the real estate area, he has represented buyers, sellers and lenders in a broad range of asset type purchases including residential, retail, hospitality and warehouse products; represented developers in construction projects; represented landlords and tenants of commercial and retail properties; and represented brokerage firms in real estate transactions. In the financing area, he has represented private conduit financing lenders in loans for hotel and office properties; assisted a major financial institution in preparation of standardized California commercial loan documentation; represented Habitat for Humanity in documentation of loans for home buyers and subsequent sale/assignment of loans into private placement transactions; and represented borrowers in a broad range of acquisition and refinancing transactions.

PROFESSIONAL AFFILIATIONS
Mr. Eng is a member of the Los Angeles County Bar Association and the State Bar of California (Sections on Real Property (former Executive Committee member) and Business Law (former Financial Institution Committee member). He serves on the Editorial Board of Los Angeles Lawyer Magazine (Managing Editor of Real Property Law Issue), and is a member of the Board of Directors of Habitat for Humanity (Greater Los Angeles affiliate) and the Asian Business Association.

SPEAKING ENGAGEMENTS
Mr. Eng has lectured for Lorman Educational Institute on real estate development and commercial leases, the National Business Institute on small businesses financing, the Los Angeles County Bar Association's Real Estate Finance/Real Property Section on loan provisions, and the Business Law Section of the State Bar of California on due diligence issues.

AUTHORSHIPS
Reviewing author of the CEB Real Property Law Practice for 2004 and 2005; author "Considering the Utility of Digital Pens," "Integrating PDA's and Cell Phones," "Is There a Bluetooth in Your Future?," "Evaluating the Use of Digital Voice Recorders for the Law Office," all published in Los Angeles Lawyer Magazine; "Financial Security Requirements Under Civil Code Section 3110.5," for California Real Property Law Journal; and "Now That You are a Corporation, Officer and Director Liabilities," featured in the AIP Newsletter.

EDUCATION
Mr. Eng graduated from Fordham University School of Law in 1982. During law school he served as Associate Editor of the Fordham Law Review. He received his Bachelor of Arts degree in Political Science and Economics from Queens College in 1979.
